Affiliate Agreement

Affiliate Program Agreement & Registration Please read the agreement document below before registering. I accept the terms of this agreement and wish to complete the registration. This application/ agreement is between Sun Water Systems, Inc. (SWS) and the undersigned applicant. This is the only "Affiliate" agreement between the two parties and supercedes all previous agreements written and/or verbal. This agreement shall be governed by the laws of the state of Texas and is subject to the following terms and conditions. Applicant Agrees: Applicant Agrees: · That the undersigned Affiliate is at all times an independent contractor and must not act or represent themselves as an employee or agent of SWS. Annual commissions paid to the Affiliate that exceed $600.00 will be documented at year-end and an IRS 1099 form will be provided to the IRS and the Affiliate by SWS. · That SWS is not liable for any product claims or statements made by the Affiliate that do not adhere to the approved product claims on the Aquasana.com web site. · That the "Discount Code" issued to the Affiliate is at all times the property of SWS and upon termination or expiration of this agreement may be discontinued or re-assigned. The assigned Discount Code and appropriate advertising may be used by the Affiliate to generate sales of Aquasana products and earn Affiliate commissions. Affiliate commissions on new Product sales are 30% and 20% on replacement cartridge sales… for ever! Affiliates may also refer other Affiliates and earn a second tier commission of 10% on all of their Affiliate’s sales and replacement cartridge sales. · In the event that the undersigned Affiliate earns less than $50.00 in commissions for the 6 months following the date of this agreement, the Affiliate's "Discount Code" may be deemed inactive and subject to termination or re-issue at the discretion of SWS. · That it is understood that the assigned discount code is SWS's only way of calculating commissions due to the Affiliate and therefore only sales using this discount code or through the approved URL link will be considered generated by the undersigned Affiliate. · To notify SWS of any pertinent contact information changes related to the applicant. Upon return of any items sent to applicant by SWS, SWS will send a final notice to applicants designated contact preference as stated in this application prior to terminating applicants account and discount code. SWS agrees: · To pay the agreed commissions as stated in this agreement for any sales generated under the applicants authorized discount code or URL link under the above stated conditions, whether through the Aquasana.com web site or other means; phone, fax, mail or e-mail. · To report on a monthly basis or make available the sales reports related to the applicants "Authorized Discount Code/Codes" as long as the sales commissions have exceeded the $50.00 minimum pay threshold. Sales commissions will accumulate until the $50.00 threshold has been met and then a commission payment and report will be generated. · To pay all commissions on a timely basis. Commissions will be calculated on the 39th day following each transaction under the applicants authorized discount code and reported on the following pay period. The 39 day "pending sale" period is to allow for a "confirmed sale" under the Aquasana "Pure Satisfaction Guarantee" which is a 30 day 100% money back guarantee on all of our products. Commission reports and payments will be mailed by the 10th day of each month. · To make available to applicant all sales and marketing programs and tools currently available and related to this affiliate marketing program, such as but not limited to; business cards, brochures, audio and video tapes, ad templates, displays, web banners, press releases and signage. · To include applicant in all company sponsored notices related to this affiliate marketing program and to support the activities of applicant in a fair and professional manner. · That Aquasana.com and Aquasana branding are the exclusive property of Sun Water Systems, Inc. · To not share or sell Applicants information to other parties. Both parties agree: · To conduct themselves in a professional and courteous manner in relationship to this affiliate program and to notify the other party in writing within 10 days of any pertinent disputes, complaints or potential liabilities. · That Sun Water Systems, Inc. strongly discourages "Spamming" in relation to this Aquasana Affiliate program. Spamming by our Affiliates may jeopardize our business and yours, therefore SWS has a strict policy to prohibit "Spamming". Any reported "Spamming" by an Aquasana Affiliate will be promptly investigated, the Affiliate will be immediately notified and warned and appropriate actions taken. "Spamming" is against the rules and may have serious repercussions for everyone! · Jurisdiction and mandatory venue for any action arising under this agreement shall be litigated exclusively in the state or federal courts located in Tarrant County, Texas. I accept the terms of this agreement and wish to complete the registration.
